From Corporate Formation to Bloomberg: Dashboard Legal’s Acquisition Story

The Moment

In April 2024, Bloomberg Law announced its acquisition of Dashboard Legal, a legal project-management platform used by law firms and corporate legal departments to track deadlines, assign work, and collaborate across matters. The deal extended Bloomberg Law's reach into the legal workflow market, and in 2025, the acquired product—now offered as part of Bloomberg Law—won the SIIA CODiE Award for Best Legal Solution, the software industry's leading peer-judged award for innovation.

For Jed and the grIP team, the deal demonstrates what long-term, full-lifecycle counsel looks like: a relationship that began with startup formation, continued through fundraising, equity, commercial agreements, intellectual property, and business development, and culminated in a strategic acquisition by one of the legal industry's biggest names.

Founded by Mathew Rotenberg and Fedor Garin, Dashboard Legal set out to give law firms and corporate legal teams a single dashboard for managing matters, deadlines, and documents, with integrations into tools including Outlook, iManage, and NetDocuments. Like many early-stage companies, it needed a legal partner who could handle the fundamentals while thinking ahead to what growth, financing, and a future sale would require.

The Diagnosis

Startups move fast, and speed has a cost. A loose cap table or an unprotected trademark rarely causes problems on day one. It causes problems the day a sophisticated acquirer's lawyers start pulling the thread. Jed's team wasn't just keeping Dashboard Legal compliant quarter to quarter. They were building the company's foundation to survive due diligence from a buyer nobody had met yet.

The Work

The engagement covered nearly every stage of the company's life:

Corporate, formation & equity

From the company's incorporation, Jed's team handled Dashboard Legal's shareholder agreements and other foundational corporate work, including entity documents, multi-state qualifications, and equity compensation strategy and compliance policies

Intellectual property

The team helped Dashboard Legal evaluate and pursue patent protection for its platform, with patent work continuing after the acquisition as the technology became part of Bloomberg Industry Group. The team secured and defended the DASHBOARD LEGAL word mark and stylized logo, prosecuting the trademark application through an office action, filing the Statement of Use, and securing the USPTO's formal notice of acceptance. From the company's earliest days, the team also put IP protections in place around the workforce itself.

Commercial agreements and compliance

As Dashboard Legal brought its product to market and expanded, the team advised on commercial contracts and the legal and business issues that came with building the company. The team drafted Dashboard Legal’s compliance policies and protocols, including a privacy policy tailored to the unique requirements of attorney users.

Fundraising

The team structured and documented the company’s seed financing and managed the capitalization table.

Business development

Beyond the legal work, grIP helped put Dashboard Legal in front of potential customers and influential leaders in the legal industry. For example, grIP organized a legal-tech panel for Mat Rotenberg before an attorney networking organization, giving Dashboard Legal an opportunity to showcase its product directly to its target market. It reflected Jed’s approach to client relationships: investing in his clients’ success beyond the legal work.

Deal counsel

When Dashboard Legal received a letter of intent from Bloomberg Law, the company turned to Jed to help lead the sell-side process. Jed advised on deal terms, navigated complex negotiations with a large and sophisticated acquirer and its top-tier law firm, and shepherded the transaction through closing, culminating in the acquisition announced in April 2024. Jed also negotiated executive employment agreements with Bloomberg for retained executives.

The Outcomes

Dashboard Legal never treated its corporate paperwork as a formality. From incorporation onward, the documents and governance were built to the standard investors expect, and eventually, the standard a buyer would demand. That discipline showed up at the closing table: a clean cap table, documented IP ownership, agreements executed properly, records in order. The transaction moved fast, and there were few surprises along the way.
